CANADIAN PROFESSIONAL CORPORATION GUIDE

Plan the corporation.
Protect your professional standing.

Understand the distinction between incorporating a company and being authorized to deliver professional services through it.

01

Professional or ordinary business corporation?

A professional corporation must meet rules tied to its regulated profession as well as the applicable corporate law. An ordinary business corporation is not automatically permitted to provide regulated professional services.

Start with your regulator’s requirements for the proposed practice. Confirm permitted activities, naming rules and the authorization needed before using the corporation professionally.

Explore professional incorporation options ↗
02

Who can own or manage the corporation?

Shareholder, director and officer eligibility is governed by the applicable provincial and professional rules. Voting control may be restricted to licensed members, and exceptions for family members or other shareholders are not universal.

Confirm the proposed share classes and ownership arrangement before incorporation or any later transfer. Do not assume that rules for another profession or province apply to your practice.

Discuss your proposed ownership ↗
03

Incorporation or permission to practise?

A registry certificate establishes the corporation, while a regulator’s certificate, permit or approval authorizes professional practice where required. These documents serve different purposes.

Some regulators require steps before incorporation and further approval afterward. Follow the required sequence and do not begin corporate practice before all necessary authorizations are in place.

Discuss professional authorization requirements ↗
04

What continues after incorporation?

Maintain corporate records, required registry returns and tax filings alongside professional licences, insurance and any corporate permit renewals. Changes to the name, shareholders, directors or practice may need separate regulator notice or approval.

Professional incorporation does not remove personal responsibility for professional misconduct or negligence. Review liability, insurance and tax planning with appropriately qualified advisers.

What is a professional corporation in Canada?

A professional corporation is a corporation through which eligible regulated professionals may provide services under applicable provincial and professional rules. It must meet both corporate law requirements and any additional conditions imposed by the profession’s regulator.

Who is eligible to form a professional corporation?

Eligibility depends on the profession and province, including whether the governing legislation permits corporate practice. Confirm your licensing status and the regulator’s requirements before selecting an incorporation service.

Does incorporation automatically authorize me to practise through the corporation?

No, incorporation alone does not replace the professional authorization required for corporate practice. Obtain any required regulator certificate, permit or approval before providing services through the corporation.

Can family members or non-professionals own shares in a professional corporation?

Only where the applicable professional and provincial rules permit it. Restrictions can differ for voting and non-voting shares, so confirm the specific rules before issuing or transferring shares.

What naming rules apply to a professional corporation?

The corporate name must satisfy both registry requirements and any profession-specific naming rules. A regulator may require particular wording, a member’s name or prior consent, and a registry name search alone does not establish professional compliance.

What documents are needed to register a professional corporation?

Prepare the proposed name, registered office, required director and shareholder details, and articles with appropriate share provisions and activity restrictions. Your regulator may also require licence information, name approval, declarations, insurance evidence or copies of issued incorporation documents.

Does a professional corporation protect me from malpractice liability?

No, professional incorporation does not remove personal responsibility for professional negligence or misconduct. Maintain required professional liability coverage and obtain advice on the liabilities that remain with you and the corporation.

Can I use an ordinary business corporation for my professional practice?

Only if the structure meets the profession’s corporate-practice rules and obtains the required authorization. An existing company may need changes to its name, articles or ownership, and acceptance depends on the applicable regulator.

Can a professional corporation practise in another province?

Not automatically: the professionals and corporation must meet the destination province’s licensing, corporate-practice and registration requirements. Extra-provincial registration alone does not grant permission to provide regulated professional services.

Does a professional corporation guarantee tax savings?

No, tax outcomes depend on the practice’s income, compensation, ownership and applicable tax rules. Review incorporation and any proposed share structure with a qualified tax adviser rather than assuming a particular tax benefit.

What ongoing obligations does a professional corporation have?

Maintain required corporate records, registry returns and CRA filings as well as professional licences, insurance and any corporate authorization renewals. Notify the regulator and registry of relevant changes according to their separate requirements.

What happens if professional corporation requirements are not maintained?

Non-compliance can lead to refusal, suspension or revocation of professional authorization and other regulatory or corporate consequences. The corporation may remain on the corporate register even when it is no longer authorized to practise the profession.
