Corporation dissolution & business closure.
Get support to dissolve a federal or provincial corporation or cancel a business name registration in Canada, and prepare for the obligations that remain after closing.
TWO SERVICES FOR BUSINESS CLOSURE
Select corporation dissolution or business name cancellation. Confirm your legal structure, jurisdiction and current registry details before submitting a request.
Choose the closing filing for your business structure.
For corporations ready for voluntary closure
End the corporation through the proper filing.
Request support with a voluntary dissolution filing for the relevant corporate registry. Confirm eligibility, required approvals and the treatment of assets and liabilities before proceeding. Tax filings and other account closures require separate attention.
For ending a business name registration
Close the registration you no longer need.
Request support to cancel an eligible business name registration, such as a sole proprietorship, partnership or operating name. Identify the record and jurisdiction being cancelled. Name cancellation does not dissolve an incorporated company or remove existing debts.

Discuss your closure filing ↗DISSOLVE A CORPORATION OR CANCEL A BUSINESS
Closing a business involves more than stopping sales. A corporation may need formal dissolution, while a sole proprietor, partnership or corporation using a trade name may need to cancel a business name registration.
Choose the service that matches the registration you want to close. Review debts, assets, approvals and outstanding obligations first; registry filings and tax account closures are separate steps.

CORPORATION DISSOLUTION & CANCELLATION GUIDE
Understand the differences between closing a corporation, cancelling a business name and ending related accounts.
Dissolution ends a corporation’s legal existence under the applicable law. Business name cancellation ends a name registration; it does not dissolve a corporation that uses that name or release an owner from existing obligations.
Check the registration document before choosing a service. A corporation with a separately registered operating name may have more than one record to address.
Explore corporation dissolution ↗A business can stop trading while its corporation or registered accounts remain active. Continuing filing and reporting obligations may apply until the appropriate closing steps are completed.
If you are only pausing operations, consider whether permanent closure is appropriate. Cancelling a business name is different from suspending activity or changing ownership.
Explore business cancellation ↗Before a voluntary dissolution, review what the corporation owns and owes and obtain the approvals required by its governing law. Federal business corporations must distribute property and discharge liabilities before dissolution is completed.
If debts cannot be paid or ownership is disputed, resolve the appropriate legal or insolvency process first. Do not treat dissolution as a way to erase unpaid obligations.
Discuss dissolution readiness ↗A dissolution or cancellation filing does not replace the CRA’s account-closing procedures. Review final income tax, GST/HST and payroll obligations, and notify other authorities or providers as needed.
Keep the closure confirmation and supporting records. Review workers’ compensation accounts, licences, contracts and registrations in other jurisdictions as part of the wind-down.

Contact our team ↗Dissolving a corporation ends its legal existence, while cancelling a business name ends that registration. Cancelling a corporation’s operating name does not dissolve the corporation or eliminate its obligations.
An authorized person can request voluntary dissolution after the corporation meets its governing law’s eligibility and approval requirements. For a federal business corporation, the process depends on whether shares were issued and whether property or liabilities remain.
Assets and liabilities must be addressed through the process required by the applicable corporate law before dissolution is completed. Under the federal business corporation rules, property must be distributed and liabilities discharged; an insolvent business may need a different process.
The required approval depends on the governing law and the corporation’s circumstances. For a federal corporation with shareholders, each class or group generally authorizes voluntary dissolution by special resolution; if no shares were issued, the directors may authorize it by resolution.
You generally need the exact registered name, corporation or registration number, jurisdiction and authorized contact details. Depending on the filing, also prepare required resolutions, declarations, registry access details and information about assets and liabilities.
A corporation that never traded still exists until it is formally dissolved and may retain filing obligations. If you no longer need it, review voluntary dissolution eligibility and any outstanding registry or tax requirements rather than simply leaving it inactive.
No, dissolution does not replace the CRA’s procedures for closing corporate income tax, GST/HST or payroll accounts. Complete the applicable final returns, payments and account-closure steps, and provide dissolution documents where required.
No, cancelling a sole proprietorship’s business name registration does not remove the owner’s responsibility for existing debts or contracts. Settle outstanding obligations and address tax accounts, permits and other arrangements separately.
Registry and tax filing obligations may continue even when the business earns no revenue. Missed obligations can result in penalties or administrative dissolution, which is not a substitute for properly addressing assets, debts and account closures.
You may need separate cancellation or withdrawal filings for extra-provincial registrations and business names. Review each registry’s requirements, along with licences and workers’ compensation accounts, rather than assuming the main dissolution closes every record.
You must still complete applicable final tax and payroll duties, address remaining contractual or employee obligations and retain records for the required periods. Keep the registry’s closure confirmation and do not assume dissolution prevents all existing claims or liabilities from being pursued.
