A foreign corporation operating without having or without an appointed Agent for Service, may face possible prosecution under S.20 of the Extra-Provincial Corporations Act and is not capable of maintaining an action or other proceeding in an Ontario court (S.21 (1)).

The corporation appoints an agent to act on its behalf within the province, with the authority to sue, be sued, receive legal notices, and execute all necessary actions and documents related to the corporation's affairs in the province. The appointment remains valid until the corporation provides due notice of a replacement agent to the Director under the Extra-Provincial Corporations Act. Until such notice is given and accepted, any legal notices or papers served upon the appointed agent will be considered valid service to the corporation.
