CANADIAN CORPORATE UPDATE GUIDE
A name change, continuance and extra-provincial registration serve different purposes. Start with the corporation’s existing legal status.
Changing the corporation’s legal name generally requires an amendment filing and any applicable name approval. Registering an operating or trade name does not replace the corporation’s legal name.
Use the approved legal name on records that require it, and update affected accounts and agreements. A corporate name approval does not itself register a trademark.
Explore corporation name changes ↗Continuance changes the legislation governing an existing corporation. Extra-provincial registration records the corporation in another jurisdiction where its activities require registration.
Expanding into another province does not necessarily require continuance. Review the destination’s registration rules and the corporation’s longer-term plans before selecting the service.
Explore extra-provincial registration ↗Revival is a process for restoring an eligible dissolved corporation. A new incorporation creates a separate corporation and does not automatically take over the dissolved corporation’s property, contracts or obligations.
Confirm the reason for dissolution and who may apply under the governing law. Outstanding filings, name requirements or other conditions may need attention before or after revival.
Explore corporate revival ↗Continuance requires the existing and destination jurisdictions to permit the transfer. The corporation must meet their approval and document requirements before the change of governing law can be completed.
Review the required corporate resolutions, departure authorization and destination articles. Plan how the new governing law affects future filings and internal corporate records.

Practical answers about corporate name changes, revival, continuance and extra-provincial registration.
Tell our team your corporation’s jurisdiction, current status and the change or registration you need.
Contact our team ↗A legal corporate name change generally requires an amendment filing with the registry that governs the corporation, plus the required corporate approval. Confirm the jurisdiction’s name search and approval rules before submitting the proposed name.
No, an operating or trade name registration does not replace the corporation’s legal name. Use a corporate name amendment if you want to change the legal name shown in the corporation’s articles and registry record.
An eligible applicant under the corporation’s governing law can request revival or restoration, subject to the applicable conditions. Confirm the reason for dissolution, the applicant’s interest and any outstanding returns or supporting documents required.
No, revival does not provide a clean slate for previous debts or compliance obligations. Review outstanding registry filings, tax matters and other liabilities as part of restoring the corporation.
No, a legal name amendment changes the name of the existing corporation rather than creating a new corporation. Update affected records and accounts, and do not assume the change removes existing debts, contracts or other obligations.
A continuance must meet the requirements of both the departing and receiving jurisdictions, including any required corporate approval and departure authorization. The application may also require articles of continuance, name approval and supporting certificates.
Continuance changes the legislation governing an existing corporation, while extra-provincial registration allows it to meet registration requirements in another jurisdiction. Expanding into another province does not necessarily require changing the corporation’s governing law.
A federal corporation must meet the registration rules of each province or territory where it conducts business. Requirements and the meaning of carrying on business vary, so check the destination jurisdiction, including Ontario where applicable.
Start with the legal name, corporation number, governing jurisdiction, current registry details and a clear description of the requested change. The filing may also require articles, certificates, resolutions, name approval or evidence of the applicant’s authority.
Failure to meet a province’s or territory’s registration requirements can lead to penalties or restrictions on legal remedies under its legislation. Confirm where your activities trigger registration and keep each required registration current.
Retain the issued documents, update affected corporate records and notify the CRA, banks, licensing bodies and other registries where required. Continue annual returns and other ongoing obligations, because missed filings can lead to enforcement or administrative dissolution.
