NOTICE OF CHANGE FOR CANADIAN CORPORATIONS

Your business changes. Record it correctly.

A corporate notice of change is a filing that updates your corporation's public registry record when its directors, officers or addresses change.

Director, officer, address and ownership updates do not all follow the same process. Shareholder changes may require internal securities records and beneficial ownership updates rather than a standard notice of change.

CORPORATE NOTICE OF CHANGE GUIDE

Understand the change.
Update the right records.

Corporate roles, ownership and addresses have different reporting requirements. Match the update to the correct record and authority.

01

Director change or officer change?

Directors oversee the management of the corporation, while officers hold appointed management roles. One person may hold both roles, but changing one role does not automatically change the other.

Document the appointment, resignation or removal under the governing law and corporate documents. Then complete any required registry update and revise the internal records.

02

Shareholder records or public registry information?

A share issuance or transfer affects the corporation’s securities records. Not every shareholder change is reported through a standard registry notice, and reporting requirements differ by jurisdiction.

Check whether the transaction changes beneficial ownership or individuals with significant control. Registry reporting does not replace the approvals and documents needed to validly issue or transfer shares.

03

Registered office or mailing address?

A registered office is the corporation’s legal address for official documents. A mailing or operating address may be a separate record, so identify which address has changed before filing.

Moving a federal corporation’s registered office to another province or territory requires an amendment to its articles as well as the relevant address update. Other jurisdictions have their own requirements.

04

Notice of change or annual return?

A notice of change reports an event-driven update, while an annual return meets a recurring registry requirement. Do not assume you can wait for the annual return to report a change.

Check the deadline and form for the affected information. Keep the filing confirmation with the supporting corporate records and review any separate CRA, bank or licensing updates.

What is a corporate notice of change in Canada?

It is a filing that updates a corporation’s public registry record when reportable information, such as directors, officers or addresses, changes. The details that must be reported depend on the jurisdiction.

How long do I have to file a notice of change?

Federal corporations generally have 15 days to report director or registered office changes, and Ontario generally requires notice of changes to previously filed corporate information within 15 days. Other rules differ—for example, Nova Scotia requires director and officer updates within 14 days, while Quebec generally requires registry updates within 30 days—so confirm the deadline for your jurisdiction and change.

Does filing a director change legally appoint or remove a director?

No, the appointment or removal must be made through the corporation’s required corporate procedures, or a director may resign. The notice of change reports the resulting change to the registry; it does not replace those steps.

What is the difference between a director and an officer?

A director oversees the corporation’s management as a board member, while an officer performs an appointed management role such as president or secretary. The same person can hold both roles, but the appointments and records are distinct.

Is every shareholder change filed as a notice of change?

No, share transfers are generally recorded in the corporation’s securities register, while public shareholder reporting varies by jurisdiction. Federal business corporations subject to individuals with significant control requirements must also report relevant control changes to Corporations Canada.

Does a shareholder change affect beneficial ownership reporting?

It can, if the transaction changes who owns or controls the corporation under the applicable reporting rules. Most federal business corporations must update their individuals with significant control records and file required changes with Corporations Canada.

Can I use a standard address change to move my registered office to another province?

Not by itself: a federal corporation must amend its articles and report the new address when changing the registered office’s province or territory. A continuance changes the corporation’s governing law and may be relevant to a provincial move; review our corporate update services to identify the appropriate process.

What documents do I need for a corporate change request?

Prepare the legal name, corporation number, jurisdiction, effective date and complete updated details. Depending on the change, you may also need filing authorization, a company key, resolutions, consents, resignations or share transaction records.

Can I report corporate changes through the next annual return?

Generally, no: a required change notice is due after the change, while an annual return is a separate recurring filing. Review our corporate filing services and confirm the applicable notice deadline rather than waiting for the annual return.

What happens if corporate information is not updated?

Outdated information can cause missed legal notices and expose the corporation to registry enforcement or other consequences under its governing law. Keep the public record and internal corporate records accurate even when the corporation is not actively trading.

Does a notice of change automatically update the CRA and my bank?

No, do not assume your registry filing updates the CRA, your bank or other business accounts; check and update those records separately where required. See our CRA and WCB account services for related account support.
