CORPORATE FILING GUIDE
Choose the right filing by understanding what it updates, which registry handles it and what remains your responsibility.
An annual return confirms corporate information with a business registry. A corporate income tax return reports financial and tax information to the Canada Revenue Agency. They are separate filings with different purposes and deadlines.
Filing a tax return does not satisfy your registry’s annual return requirement. Check your corporation’s jurisdiction and reporting year.
Explore annual returns ↗Routine updates to directors, officers or an address may use a notice of change or another registry update. Changes to provisions in your articles, such as a corporate name or share structure, generally require articles of amendment.
Check which record contains the information being changed. The filing route and approvals depend on your corporation’s governing law.
Explore corporate amendments ↗An initial return supplies the first corporate information required after incorporation or registration in certain jurisdictions. An annual return is a recurring registry filing for the applicable reporting year.
Completing an initial return does not replace future annual returns or notices of change. Check the Ontario or Quebec requirements that apply to your corporation.
Explore initial returns ↗Changes to previously reported corporate information may require a notice of change or another prescribed registry update. The appropriate filing depends on the information changed and the corporation’s governing law.
Do not assume that the next annual return replaces a required change notice. Review the relevant filing deadline and update other accounts or records separately where needed.

No, an annual return reports corporate information to a registry, while a corporate income tax return reports tax information to the Canada Revenue Agency. Filing one does not satisfy the other obligation.
A corporation may still need annual returns even if it has no revenue or has stopped trading. Federal business corporations with active legal status must file, and provincial requirements should be checked with the applicable registry.
Changes to previously filed information, such as directors, officers or a registered office address, may require a notice of change or another prescribed update. The applicable form and deadline depend on the jurisdiction and the information affected.
Corporations covered by a jurisdiction’s initial reporting requirements must submit their first information return after the relevant incorporation or registration event. The service offers Ontario and Quebec options, whose filing rules and terminology differ.
Changes to provisions in the articles, such as a corporation’s legal name or share structure, generally require articles of amendment. Routine director or address updates may follow a different filing route, depending on the governing law.
An amendment may require a shareholder or member resolution, separate class approval or other authorization under the corporation’s governing law. Confirm the approvals for the proposed change and retain the supporting resolutions with the corporate records.
Prepare the exact legal name, corporation number, jurisdiction and the current or updated information relevant to your request. Depending on the filing, you may also need a reporting year, company key, filing authority, resolutions or supporting documents.
Do not assume you can wait, because a separate change notice may be required before the next annual return. Ontario generally requires notice of changes to previously filed corporate information within 15 days, subject to statutory exceptions.
Missed filings can leave the public record inaccurate and lead to registry enforcement, loss of access to certain compliance certificates or administrative dissolution. Check the corporation’s status and address outstanding requirements with the appropriate registry.
Do not assume every registry filing updates the CRA, banks or licensing authorities. After filing, retain the confirmation and update affected accounts and corporate records wherever separate notice is required.
